.                                                                                                    DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed, made and executed on this ____ day of _________, 200_, by and between:

_______________________, of legal age, Filipino, (single or married to _________), and a resident of ______________, (hereinafter
referred to as the “SELLER”);

-and-

_______________________, of legal age, Filipino, (single or married to ___________) and a resident of  ___________________,
(hereinafter referred to as the “BUYER”).

WITNESSETH:

1.        For and consideration of the amount of Philippine Pesos: ______________(Php_______), receipt of which in full is hereby
acknowledged by the SELLER to his full satisfaction, the SELLER hereby irrevocably SELLS, TRANSFERS AND CONVEYS to the BUYER:

a)        a parcel of land identified as _______, situated at _________________, with an aggregate area of ____ square meters, more or less,
and more particularly described in Transfer Certificate of Title No. ________ issued by the Registry of Deeds for the City of __________,
(together with the buildings and other improvements thereon), which are more particularly described and listed in Schedule 1 attached
hereto and made an integral part hereof.

[The aforementioned lots, buildings and other improvements are collectively referred to herein as the “PROPERTY”.]

2.        The SELLER represents and warrants to the BUYER as follows:

(a)        He is the beneficial owner of the PROPERTY with valid right and authority to sell, dispose, convey and transfer the same.  

(b)        This Deed and all related documents and deeds required on his part to be executed under the terms hereof shall, upon his execution
and signing, be valid, binding, and enforceable against him in accordance with their respective terms.

(c)        He has good and valid title to the PROPERTY, free and clear of any liens, charges and encumbrances of whatsoever nature.

(d)        There are no tenants or squatters or occupants on the PROPERTY nor there are any claim to the title thereof by any person or persons
with right of ownership or possession.

(e)        All real property tax and assessments due on the  PROPERTY for the past and current years have been paid.

3.  The BUYER represents and warrants to the SELLER as follows:

(a)        He has the full legal capacity to buy and purchase the PROPERTY from the SELLER.

(b)        He is duly authorized to enter into and execute this Deed and all related documents and deeds required to be executed under the
terms hereof.

(c)        This Deed and all related documents and deeds required on her part to be executed under the terms hereof shall, upon her execution
and signing, be valid, binding, and enforceable against her in accordance with their respective terms.

(d)         There is no action, suit or proceeding pending or, to the best knowledge of BUYER, threatened against him which relates to this
Deed or enjoins or will enjoin the performance of his obligations under this Deed or causes or will cause the termination, suspension or
revision hereof.

4.        Any and all documentary stamp tax, local transfer tax and registration fees in connection with the sale of, and transfer of title to, the
PROPERTY from the seller to the BUYER shall be for the account of the BUYER.  Any capital gains tax shall be for the account of the SELLER.

5.        Each party shall pay for costs, fees and expenses incurred by him in connection with the preparation and negotiation of this Deed and
the performance of his obligations herein.  All fees in connection with the notarization of this Deed shall be equally shared by the SELLER
and the BUYER.

6. The SELLER hereby delivers to the BUYER and the BUYER hereby acknowledges receipt from the SELLER of the following:

a).  Owner’s Duplicate Copy of Transfer Certificate of Title No.   _______ issued by the Registry of Deeds for the City of ________;


b). The Tax Declarations covering the land and the improvement of PROPERT in SELLER’s name, indicating that the PROPERTY is
classified for residential use;

c). Real Property Tax Clearance issued by the local treasurer showing full payment of realty tax, special education fund tax and other
assessments and charges on the PROPERTY;

d). Original Copies of Official Receipts and proof of payment of the real property tax, special education fund tax and assessments on the
PROPERTY for the past and current years.

e). Tax Identification Number (TIN) of the SELLER necessary to secure Certificate Authorizing Registration with the Bureau of Internal
Revenue.

7. This Deed shall not be considered in any manner as altered or amended unless such alterations or amendments are made in writing and
signed by both parties hereto.

8.        Any and all actions or suits in connection with or arising from this Deed shall be filed with or instituted in the proper court of _________.

9.        In case either party is compelled to resort to the courts or seek the assistance of legal counsel to protect its rights or seek redress for
its grievances, the party at fault shall be liable to the innocent party for actual attorney’s fees incurred by the innocent party, in addition to the
costs and expenses of litigation, without prejudice to any and all reliefs or remedies to which the innocent party may be entitled in law and
equity.
